TERMS OF USE – ABISPRO PLATFORM
This Terms of Use document (“Terms”) is published in compliance with the Information Technology Act, 2000 and the rules made thereunder, including the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021, as amended from time to time.
This electronic record is generated by a computer system and does not require any physical or digital signature.
These Terms govern your access and use of the ABISPRO mobile application (“App”) for handheld devices and the website www.abispro.com (together referred to as the “Platform”), operated and owned by ABIS Proteins Private Limited (“Company”, “we”, “us”, “our”). By downloading, installing, accessing, registering on, or using the Platform, you agree to be bound by these Terms and all other applicable Company policies (including but not limited to the Privacy Policy, Cancellation & Refund Policy, Delivery/Service Policy, Take Down Policy, etc.), which together constitute a legally binding agreement.
If you do not agree, you must immediately uninstall the App and discontinue use of the Platform.
1. DEFINITIONS:
• “Agreement” means these Terms together with the Privacy Policy, order forms, payment instructions, disclaimers, and all applicable policies published on the Platform.
• “You” / “Your” means any natural or legal person using the Platform, placing orders, or availing Services.
• “Company” / “We” / “Us” / “Our” refers to ABIS Proteins Private Limited.
• “Goods / Products” means items, goods, or merchandise offered through the Platform.
• “Services” means ordering, purchase, subscription, delivery, or any services enabled through the Platform.
• “Delivery Area” means such geographical locations as may be specified by the Company from time to time.
• “User Account” means the account created by You to access the Platform.
2. AMENDMENTS:
We reserve the absolute right to modify, update, suspend, or discontinue these Terms or any policy at our sole discretion at any time without prior notice. Updates shall be posted on the Platform and continued use after such updates shall be deemed acceptance.
3. ORDERING & USE OF SERVICES:
• Orders or service requests are subject to acceptance, availability, and delivery/service capacity.
• You agree to provide accurate, complete, and updated information at all times.
• Goods and Services are intended solely for end-use consumption and not for resale unless expressly authorized.
• You are responsible for maintaining confidentiality of your login credentials. Any activity under your account will be deemed authorized by you.
• We reserve the right to reject, cancel, or restrict any order at our discretion, including for suspected fraud, misuse, or non-compliance.
4. PRICES & PAYMENTS:
• Prices are listed in INR and are inclusive of applicable taxes unless otherwise indicated.
• Prices may be revised at any time without prior notice. The final payable amount will be as per the order/service confirmation.
• Payments shall be made only through authorized payment methods as specified on the Platform.
• In case of payment failures, bank/payment gateway charges, reversals, or delays, the Company shall not be liable.
5. DELIVERY / SERVICE FULFILMENT:
• Deliveries/services shall be restricted to areas notified as Delivery Areas/Service Zones.
• Timelines are indicative and subject to operational, regulatory, or unforeseen constraints.
• We shall not be liable for delays due to force majeure events, traffic, regulatory checks, or any circumstances beyond our control.
• You shall ensure accessibility at the delivery/service location. Failure to receive delivery/service may result in cancellation and applicable charges.
6. CANCELLATION & REFUND:
• Orders/services may be cancelled by you before dispatch/fulfilment by contacting Customer Support.
• Once dispatched or processed, cancellations shall not be permitted.
• For perishable or consumable products, no return or refund shall be allowed after delivery, except in case of genuine quality or service issues, determined at the Company’s sole discretion.
• Refunds, if approved, will be processed only through the original payment method within the prescribed timelines.
7. INFORMATION & DATA PROTECTION:
• You shall provide only true, accurate, and lawful information.
• By using the Platform, you consent to the collection, storage, processing, and sharing of your personal data in accordance with the Company’s Privacy Policy.
• Data may be shared with affiliates, service providers, or governmental authorities for compliance, lawful purposes, or to enhance Services.
8. LIMITATION OF LIABILITY:
• The Platform and Services are provided on an “as is” and “as available” basis without warranties of any kind.
• To the maximum extent permitted by law, our liability shall not exceed the value of the order/service in question.
• We disclaim liability for indirect, incidental, punitive, or consequential losses, including loss of profits, goodwill, or business opportunities.
• We shall not be responsible for third-party actions, including those of delivery partners, payment gateways, or unauthorized users.
9. GENERAL TERMS:
• These Terms shall be governed by the laws of India. Exclusive jurisdiction shall lie with the courts at Rajnandgaon, Chhattisgarh.
• Users below 18 years of age or otherwise incompetent to contract under the Indian Contract Act, 1872 are not eligible to use the Platform.
• We may assign, transfer, novate, or subcontract any of our rights or obligations under these Terms without prior notice.
• No waiver of rights shall be implied unless expressly made in writing.
• If any provision of these Terms is held invalid, the remainder shall remain enforceable.
10. PRIVACY POLICY:
10.1 INFORMATION WE COLLECT:
We may collect the following categories of information:
• Personal Information (provided by you): Name, age, gender, contact details (address, phone number, email), account registration details, login credentials.
• Payment information (UPI ID, bank details, card details, etc.).
• Sensitive Personal Data (only if required for services)
• Financial details for payment processing.
• Any other information defined as “sensitive personal data” under Indian law.
Information Automatically Collected
• Device details (model, operating system, IP address, browser type).
• Location data (if enabled).
• Cookies, log files, browsing and usage patterns.
• Transactional & Service Data
• Order history, delivery addresses, preferences.
• Customer service requests, feedback, and grievances.
10.2 PURPOSE OF COLLECTION AND USE:
We collect and use your information for lawful purposes, including:
• To provide, process, and deliver goods, services, and digital content.
• To verify identity and maintain account security.
• To process payments and settlements.
• To communicate order updates, offers, and marketing information.
• To improve functionality, user experience, and service quality.
• To comply with legal obligations, law enforcement requests, and regulatory requirements.
• To prevent fraud, misuse, or unauthorized transactions.
10.3 CONSENT:
• By providing information or using the Platform, you consent to our collection, use, storage, and processing of your information as outlined in this Policy.
• You may withdraw consent by discontinuing use of the Platform or by submitting a written request. However, withdrawal may affect our ability to provide services.
10.4 DATA SHARING & DISCLOSURE:
We may share your information with:
• Our affiliates, group companies, and service providers for business purposes.
• Delivery partners, payment gateways, and IT infrastructure providers.
• Regulatory authorities, government agencies, or law enforcement, where required by law.
• Third parties in case of merger, acquisition, restructuring, or business transfer.
• We do not sell or rent your personal information to third parties for unauthorized purposes.
10.5 DATA STORAGE & RETENTION:
• Data will be stored on secure servers located in India or abroad (where permitted by law).
• We retain data only as long as necessary for lawful business purposes or as required by applicable law.
• Certain transaction or account-related data may be retained even after account deletion to comply with statutory requirements.
10.6 DATA SECURITY:
We implement reasonable security practices, including:
• Encryption, firewalls, and access controls.
• Limited access to personal data on a need-to-know basis.
• Compliance with IS/ISO/IEC 27001 security standards, wherever applicable.
• Despite best efforts, no system is 100% secure, and we disclaim liability for breaches beyond our reasonable control.
10.7 USER RIGHTS:
Subject to applicable law, you have the right to:

• Withdraw consent to processing (may restrict services).

• Lodge complaints with the designated Grievance Officer or, where applicable, the Data Protection Board of India.

We use cookies and similar technologies to:

• You may disable cookies through your browser, but certain features may not function properly.
10.9 CHILDREN’S PRIVACY:
The Platform is not intended for persons under 18 years. We do not knowingly collect data from minors. If you believe a minor has provided information, please contact us for deletion.
10.10 THIRD-PARTY LINKS:
The Platform may contain links to third-party sites. We are not responsible for the privacy practices of such sites. Users are encouraged to review third-party policies separately.
10.11 UPDATES TO POLICY:
We may revise this Policy at our sole discretion at any time. Updates will be posted on the Platform, and continued use after updates constitutes deemed acceptance.

11. PAYMENT GATEWAY:
Payments are processed through authorized third-party payment gateways/banks. The Company shall not be liable for failures, unauthorized transactions, or discrepancies attributable to such third parties.
12. ACCOUNT DELETION:
Users may request deletion of their account by writing to support.abispro@ibgroup.co.in. Certain data may be retained as per statutory, regulatory, or legitimate business requirements under the Data Retention Policy.
13. MARKETING & COMMUNICATION CONSENT:
• Explicit clause allowing ABISPRO to send service messages, promotional offers, and push notifications, with user opt-out option.
• Helps avoid disputes around unsolicited communication.
