1. ELECTRONIC ACCEPTANCE
By clicking "I Agree", registering an account, placing an order, or otherwise using the Platform, the User expressly acknowledges and agrees that such electronic acceptance constitutes a valid and legally binding agreement under the Information Technology Act, 2000, with the same force and effect as a signed written agreement.
2. DEFINITIONS
"Account" – the account created by the User on the Platform.
"Customer / User" – any individual accessing or using the Platform.
"Order" – any purchase request submitted by a User for Products.
"Platform" – ABIS Pro mobile application, website, and related services.
"Products" – fresh chicken, eggs, mutton, and other food items sold through the Platform.
"Delivery Partner" – third-party logistics providers engaged for delivery of Products.
"Services" – all services provided by the Company via the Platform, including ordering, delivery, and customer support.
"Force Majeure Event" – events beyond the Company's reasonable control including natural disasters, pandemics, governmental actions, labour disputes, transportation disruptions, cyber incidents, utility failures, war, civil unrest, strikes, acts of God, or any other similar event.
3. USER ELIGIBILITY
Only individuals competent to contract under applicable Indian law may use the Platform.
Users under 18 years of age are prohibited from using the Platform.
The Company reserves the right to modify, suspend, or discontinue any part of the Platform or Services at any time without prior notice.
4. PRODUCT AVAILABILITY & ORDER ACCEPTANCE
All products are subject to stock availability and operational feasibility.
Product images are for illustrative purposes only; actual products may vary.
Placement of an Order constitutes an offer to purchase; acceptance occurs only upon dispatch confirmation. The Company may reject any order prior to dispatch without providing reasons.
Ownership and risk in Products pass to the Customer upon successful delivery and acknowledgement.
5. DELIVERY & SERVICE TERMS
Chicken & Eggs – same-day (orders before 6:00 PM) and next-day delivery.
Mutton – next-day delivery only (orders before 6:00 PM).
Multiple delivery slots are available; timelines are indicative and may vary due to operational or environmental exigencies.
Customers must provide accurate details and ensure availability at the delivery location.
The Company may reschedule deliveries due to operational or environmental factors.
6. FORCE MAJEURE
The Company shall not be liable for any delay or failure in performance caused by Force Majeure Events.
7. PRICING & PAYMENT
Prices are in INR and may change without prior notice.
Payments are accepted only through authorized methods.
The Company is not responsible for technical or banking failures or unauthorized transactions.
8. REPLACEMENT, RETURNS & REFUNDS
Returns are not accepted due to the perishable nature of Products.
Spoiled, rotten, or damaged Products may be replaced upon verification, subject to availability.
Refunds are generally not applicable and processed only through the original payment method if exceptionally approved.
Delays caused by operational, transportation, or environmental factors do not entitle the User to refunds.
9. CANCELLATION
Orders can be canceled prior to processing or dispatch.
Once processed, packed, or out for delivery, cancellation may not be possible.
The Company may cancel orders due to stock unavailability, operational limitations, or suspicious transactions.
10. USER RESPONSIBILITIES
Users must not provide false information, misuse the Platform, attempt unauthorized access, resell Products without consent, or engage in unlawful activity.
Users must maintain confidentiality of account credentials.
Users agree to indemnify the Company against all claims arising from misuse, breach, or violation of applicable law.
11. INTELLECTUAL PROPERTY
All trademarks, logos, trade names, designs, software, content, and materials on the Platform are owned or licensed by the Company. Unauthorized use, reproduction, or distribution is prohibited.
12. PRIVACY & DATA PROTECTION
Collection and processing of data is governed by the Privacy Policy.
Information includes name, contact, payment, device, usage, and order history.
Data may be shared with affiliates, service providers, or regulatory authorities as required.
The Company does not sell personal information to unauthorized third parties.
13. MARKETING COMMUNICATIONS
By placing an order, Users consent to receive transactional and promotional messages. Users may opt out via available mechanisms.
14. LIMITATION OF LIABILITY
The Company's aggregate liability does not exceed the amount paid for the specific order.
The Company is not liable for indirect, incidental, punitive, or consequential damages including lost profits, goodwill, or data loss.
The Company is not responsible for third-party actions including Delivery Partners or Payment Gateways.
15. ACCOUNT SUSPENSION & FRAUD
The Company may suspend or terminate accounts if fraudulent activity, misuse, or violation of Terms is suspected.
Transactions suspected to be fraudulent or unauthorized may be refused, canceled, or investigated.
16. FOOD PRODUCT DISCLAIMER & TRACEABILITY
Products must be handled, stored, and cooked according to food safety guidelines.
Traceability information is for transparency and does not constitute a warranty, guarantee, or certification beyond legal requirements.
17. DISPUTE RESOLUTION
Parties must attempt amicable resolution within 30 days.
Failing resolution, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
Seat of arbitration: Rajnandgaon, Chhattisgarh; language: English.
Consumers retain rights to file complaints in local jurisdiction as per law.
18. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of India. Subject to consumer rights, disputes are under the competent courts at Rajnandgaon, Chhattisgarh.
19. LIMITATION PERIOD
Any claims must be brought within one (1) year from the date the cause of action arose.
20. GENERAL PROVISIONS
Severability – If any provision is invalid, others remain effective.
Waiver – Failure to enforce any provision does not constitute waiver.
Assignment – The Company may assign rights or obligations; Users may not assign without consent.
Entire Agreement – These Terms, along with Policies, constitute the complete agreement between User and the Company.
